Terms of Service

The terms that govern your use of SwapEazi's cross-border business payment services.

1. Acceptance of Terms

By accessing or using the SwapEazi platform at swapeazi.io ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms form a legally binding agreement between you and SwapEazi (Pty) Ltd.

2. Eligibility

You may use SwapEazi only if you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Are not a resident of a jurisdiction where our services are prohibited
  • Are not subject to sanctions by OFAC, the EU, UN, or other applicable authorities
  • Have successfully completed our identity verification (KYC) process

3. Description of Services

SwapEazi provides the software that a business uses to arrange, authorise, track and reconcile a payment to a supplier in South Africa. The payment services themselves, namely collecting funds, the foreign exchange and paying the beneficiary, are provided by licensed financial partners. Our services comprise:

  • Quoting a cross-border supplier payment, stating the amount the supplier will receive, the amount the payer will pay, the exchange rate applied and all fees
  • Verifying the payer, the beneficiary supplier and the underlying commercial invoice
  • Instructing and reconciling the movement of value between licensed collection and payout partners

SwapEazi provides the software businesses use to manage cross-border supplier payments. It is not a bank, broker or investment advisor and does not hold customer funds at any point. Regulated payment services relating to a payment, namely collecting a payer’s funds, the foreign exchange and paying a beneficiary, are provided by licensed financial partners in the market where each step takes place, and the relevant partner’s registration details are available to the payer on request. SwapEazi does not provide financial, investment, legal or tax advice.

4. Account Registration and KYC

To access full platform functionality, you must create an account and complete identity verification. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorised use of your account

We reserve the right to refuse, suspend, or terminate accounts at our sole discretion, including for failure to complete or pass KYC/AML verification.

5. Prohibited Activities

You may not use SwapEazi for:

  • Money laundering, terrorist financing, or any activity that violates applicable AML/CTF laws
  • Transactions involving sanctioned individuals, entities, or jurisdictions
  • Fraud, market manipulation, or deceptive practices
  • Unlicensed money transmission or financial services
  • Any activity that violates applicable law or regulation
  • Circumventing or attempting to circumvent our compliance controls

Violation of these prohibitions may result in immediate account termination, transaction reversal where possible, and reporting to relevant authorities.

6. Transaction Terms

All payments arranged using the SwapEazi platform and executed by a licensed partner are subject to:

  • The exchange rate and fees disclosed on your quote, which are held for the window stated on the quote
  • Compliance checks by SwapEazi and by the licensed partners, which may delay or decline a payment pending review
  • The availability of a licensed collection and payout partner on the route
  • Once a payment has been settled to the beneficiary, it is generally final and cannot be reversed

6.1 The hold window, and what happens after it

The exchange rate and every fee on your quote are fixed for the hold window stated on it. Inside that window the figures do not move, whatever the market does.

If you do not confirm and settle within that window, the quote lapses. A lapsed quote is reissued at the exchange rate applying at the time of reissue. That rate may be better or worse than the one you were originally shown, and the difference is yours. We do not hold a lapsed rate, and we do not settle at a stale one without showing you the new figures first.

By using the platform you accept that exchange rates move, that a quote is only binding for the window stated on it, and that you are responsible for confirming within that window if the quoted rate matters to you.

7. Fees

Current fee schedules are available on the Platform. We reserve the right to change fees with reasonable notice. Fees are non-refundable unless required by applicable law.

8. Risk Disclosure

Cross-border payments carry risks you should be aware of, including:

  • Exchange-rate movement between the time you request a quote and the time you pay
  • Delays or declines caused by compliance checks, incorrect beneficiary details, or a receiving bank
  • Regulatory change in the countries a payment moves between, which may affect availability or timing
  • Reliance on licensed partners and banks whose own systems and processing times are outside our control
  • Standard technology risks such as service interruptions or cyberattacks

You acknowledge that you understand these risks and accept them.

9. Intellectual Property

All content, software, trademarks, and intellectual property on the Platform belong to SwapEazi or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SwapEazi shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability to you shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SwapEazi, its directors, officers, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of South Africa, without regard to conflict of law principles. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA).

13. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform. Continued use after the effective date of changes constitutes acceptance.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause. Provisions that by their nature should survive termination (including intellectual property, indemnification, and limitation of liability) will survive.
